This End-User License Agreement ("Agreement") is a legally binding contract between you ("User" or "you") and ITCS Capital Ltd ("ITCS Trade"), a company registered under the laws of Kazakhstan, with its registered office at K. Amanzholov Street 174, 09000, Kazakhstan.
By accessing, using, or downloading any part of ITCS Trade's software, services, or website ("Services"), you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms of this Agreement, you must not use or access the Services.
Subject to your compliance with the terms of this Agreement, ITCS Trade grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your personal, non-commercial purposes.
You agree not to:
a. Copy, modify, reverse engineer, or create derivative works based on the Services or any part thereof.b. Distribute, rent, lease, sell, sublicense, or otherwise transfer any rights to the Services to any third party.c. Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Services.d. Use the Services for any unlawful purpose, or in violation of any applicable laws or regulations.
All intellectual property rights in the Services, including but not limited to copyrights, trademarks, and patents, are owned by ITCS Trade or its licensors. Nothing in this Agreement shall be construed as transferring any intellectual property rights to you.
ITCS Trade may terminate this Agreement and your access to the Services at any time, with or without cause, upon written notice to you. Upon termination, you must cease all use of the Services and destroy any copies of the software in your possession or control.
The Services are provided "as is" and without warranties of any kind, whether express or implied. ITCS Trade disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall ITCS Trade or its licensors be liable for any damages, including but not limited to direct, indirect, incidental, consequential, or punitive damages, arising out of your use of or inability to use the Services, even if ITCS Trade has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless ITCS Trade and its affiliates, directors, officers, employees, and agents from any claims, damages, or losses resulting from your use of the Services or breach of this Agreement.
This Agreement shall be governed by and construed in accordance with the laws of Kazakhstan, without regard to its conflict of law principles. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Kazakhstan.
ITCS Trade reserves the right to modify or update this Agreement at any time without prior notice. The last updated date of this Agreement is 18/4/2023. You are responsible for reviewing this Agreement periodically to ensure your continued compliance with its terms.
This Agreement constitutes the entire agreement between you and ITCS Trade concerning your use of the Services and supersedes all prior or contemporaneous understandings, representations, or agreements, whether written or oral.
